# Terms of Service

## Master Service Agreement


By accessing the website of AURA MK Productions (operated by MORALES ORTIZ AXEL DONOVAN Technology LLC) and engaging our professional marketing, design, or production services, you ("Client") agree to be bound by the following terms and conditions:

### 1. Scope of Services

AURA MK Productions provides custom digital marketing, creative design, brand strategy, social media management, and multimedia production services. Each project will be governed by a specific Statement of Work (SOW) outlining deliverables, timelines, milestones, and costs. The SOW, once signed by both parties, becomes an integral part of this agreement.

### 2. Intellectual Property Rights

All creative concepts, drafts, work-in-progress files, and final designs developed by AURA MK Productions remain the sole property of MORALES ORTIZ AXEL DONOVAN Technology LLC until the final balance is paid in full. Upon project completion and full payment, a non-exclusive, perpetual, non-transferable license is granted to the Client for the use of the delivered assets for their intended business purposes. AURA MK Productions reserves the right to showcase completed work in its portfolio and marketing materials unless a written non-disclosure agreement is in place.

### 3. Client Responsibilities

To maintain our high standards of delivery, Clients are responsible for providing all necessary branding assets (logos, high-resolution images, brand guidelines, copy, and access credentials) and feedback within 48 business hours of a request. Delays in Client feedback may result in adjusted delivery timelines. The Client warrants that all materials provided to AURA MK Productions are owned by or properly licensed to the Client and do not infringe upon third-party intellectual property rights.

### 4. Confidentiality

We value your business strategy. Both parties agree to keep all proprietary information, trade secrets, campaign data, analytics, and business strategies strictly confidential during and after the term of the agreement. This confidentiality obligation survives the termination of the service relationship.

### 5. Limitation of Liability

To the maximum extent permitted by applicable law, MORALES ORTIZ AXEL DONOVAN Technology LLC (d/b/a AURA MK Productions) shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the services provided. Our total aggregate liability shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

### 6. Payment Terms

Unless otherwise specified in the SOW, a non-refundable deposit of 50% of the total project fee is required before work commences. The remaining balance is due upon delivery of the final assets. Invoices not paid within 15 days of the due date will incur a late fee of 1.5% per month on the outstanding balance.

### 7. Termination

Either party may terminate a project agreement by providing written notice. In the event of termination, the Client remains responsible for payment of all work completed up to the date of termination, in accordance with the Refund & Cancellation Policy. AURA MK Productions reserves the right to terminate the agreement immediately if the Client engages in conduct that is unlawful, fraudulent, or materially harmful to the agency's reputation.

### 8. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of Montana, without regard to conflict of law principles. Any legal proceedings shall be conducted in the courts of Flathead County, Montana.

### 9. Amendments

AURA MK Productions reserves the right to update or modify these Terms of Service at any time. Changes will be communicated to active Clients via email. Continued use of our services after notification of changes constitutes acceptance of the revised terms.
